Terms of Service

Effective date: July 23, 2026

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered by BJE Equity LLC, doing business as Rila (“Rila,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms and by our Privacy Policy, Refund Policy, SMS Policy, and Consent to Telehealth, each of which is incorporated here by reference. If you do not agree, do not use our services.

2. Definitions

“Services” means Rila’s website, technology platform, and related offerings. “Providers” means the independent, licensed healthcare professionals who evaluate and treat patients. “Partner Pharmacies” means the independent pharmacies that prepare and dispense medications. “You” means the person using the Services.

3. Eligibility

You must be at least 18 years old, have the legal capacity to enter into these Terms, and be located in a jurisdiction where the Services are available. By using the Services, you represent that you meet these requirements.

4. The services we provide

Rila is a technology platform that facilitates access to telehealth care by connecting you with independent Providers and Partner Pharmacies. Rila does not practice medicine and is not a pharmacy. We do not provide medical advice, and no doctor–patient relationship is formed between you and Rila. Any care relationship is solely between you and your Provider.

5. Not for emergencies

The Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use the Services for urgent or emergency medical needs.

6. No guarantee of prescription or results

Whether to prescribe any treatment is solely within the professional judgment of your Provider, and a prescription is not guaranteed. Treatment outcomes vary from person to person, and we do not guarantee any particular result. Testimonials and images are illustrative and do not guarantee similar outcomes.

7. States served

Our telehealth services are available to patients located in all 50 U.S. states and the District of Columbia. All consultations are conducted by licensed U.S. healthcare providers, and all prescriptions are dispensed by licensed U.S. pharmacies. Treatment is only provided where clinically appropriate and permitted by applicable state and federal law. Availability of specific medications may vary by state based on state regulations and provider licensure. Asynchronous (online questionnaire) care is available in the following 44 states: AK, AL, AR, AZ, CA, CO, CT, DE, FL, GA, HI, IA, ID, IL, IN, KY, MA, MD, ME, MI, MN, MO, MT, NC, ND, NE, NH, NJ, NV, NY, OH, OK, OR, PA, SC, SD, TN, TX, UT, VA, VT, WA, WI, WY. A live (synchronous) consultation with a provider is required before treatment in these 7 jurisdictions: District of Columbia (DC), Kansas (KS), Louisiana (LA), Mississippi (MS), New Mexico (NM), Rhode Island (RI), West Virginia (WV).

8. Independent Providers and Pharmacies

Providers exercise independent professional judgment and are solely responsible for the care they provide. Partner Pharmacies are independently responsible for preparing and dispensing medications. Rila does not direct or control, and is not responsible for, the acts or omissions of Providers or Pharmacies. Certain medications offered through the Services are compounded and are not FDA-approved; they have not been evaluated by the FDA for safety, effectiveness, or quality.

9. Your account

You agree to provide accurate, current, and complete information, including truthful health information, and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

10. Subscription, billing, and auto-renewal

The Services are offered on a recurring, auto-renewing monthly subscription. By enrolling, you authorize us to charge your payment method on a recurring basis at the start of each billing cycle until you cancel. Your subscription automatically renews each cycle unless cancelled. You are charged only if a Provider reviews your information and determines that treatment is appropriate. You may cancel at any time, and all refunds and cancellations are governed by our Refund Policy. Prices and fees may change on a going-forward basis with notice.

11. Prescriptions and fulfillment

If a Provider prescribes treatment, your medication is prepared and shipped by a Partner Pharmacy. You are responsible for using any medication only as directed by your Provider and for reading all accompanying information.

12. Medical disclaimer

Content made available through the Services is for general informational purposes only and is not medical advice. Always consult a qualified healthcare provider with questions about a medical condition or treatment.

13. Acceptable use

You agree not to: use the Services for any unlawful purpose; provide false or misleading information; impersonate any person or entity; interfere with or disrupt the Services; attempt to gain unauthorized access to any systems; or use the Services to infringe the rights of others.

14. Intellectual property

The Services and all content, features, and functionality are owned by Rila or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

15. Third-party links and services

The Services may contain links to third-party websites or services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk.

16. Disclaimer of warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, and telehealth technology may be subject to interruptions or failures.

17. Limitation of liability

To the fullest extent permitted by law, Rila and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from medical decisions, Provider or Pharmacy acts or omissions, or interruptions of the Services. To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the amount you paid to us in the three (3) months before the event giving rise to the claim.

18. Indemnification

You agree to indemnify and hold harmless Rila and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

19. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive.

20. Governing law and jurisdiction

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. You agree that any dispute will be resolved exclusively in the state or federal courts located in Utah, and you consent to their jurisdiction and venue. This Section is subject to the arbitration agreement and class action waiver in Section 20 (Arbitration and class action waiver) below, which governs how most disputes are resolved.

21. Arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

Except as set out below, you and Rila agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including their formation, applicability, breach, termination, enforcement, interpretation, or validity — will be resolved by binding, individual arbitration rather than in court. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect (available at adr.org). Arbitration will take place in Utah, or another location the parties mutually agree upon, or, where permitted by the AAA’s rules, may be conducted by telephone, video conference, or based on written submissions. The arbitrator’s decision will be final and binding on the parties, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

You and Rila each waive the right to a jury trial and to participate in a class action, class arbitration, or representative action. Claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding. If this class action and class arbitration waiver is found unenforceable as to a particular claim or dispute, then that claim or dispute (and only that claim or dispute) must be brought in court, and all other claims remain subject to arbitration.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes that qualify for that court’s jurisdiction, and Rila may seek injunctive or other equitable relief in any court of competent jurisdiction at any time to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights.

You may opt out of this arbitration agreement. To do so, send written notice to team@joinrila.com within 30 days of the date you first agree to these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms continue to apply to the fullest extent enforceable, except that disputes covered by this Section will instead be resolved as described in Section 19 (Governing law and jurisdiction).

This Section governs the resolution of disputes described above and takes precedence over the general venue provisions in Section 19 (Governing law and jurisdiction). Section 19 continues to govern the substantive law applicable to these Terms and establishes venue for any claim properly excluded from arbitration under this Section, including the small-claims and injunctive-relief carve-outs above and any claim following a valid opt-out.

22. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date, and your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

23. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, Refund Policy, SMS Policy, and Consent to Telehealth, constitute the entire agreement between you and Rila regarding the Services.

24. SMS / text messaging

With your consent, we may send text messages related to your care, such as appointment reminders, order and refill updates, and support. Message and data rates may apply, and message frequency varies. You can opt out at any time by replying STOP, or reply HELP for help. We do not share your mobile information with third parties or affiliates for their marketing purposes. For more detail on how we use SMS messaging, see our SMS Policy.

Rila is a telehealth platform that connects patients with independent, US-licensed healthcare providers. Rila does not provide medical care or prescribe medication; all care decisions are made by independent providers. Prescriptions are issued only after an online consultation and only if a provider determines treatment is appropriate. Compounded medications are not FDA-approved and have not been evaluated by the FDA for safety, effectiveness, or quality. Individual results vary; weight-loss outcomes are based on clinical studies of GLP-1 medications combined with diet and exercise. This website does not offer medical advice — consult a qualified healthcare provider with any questions about a medical condition. If you are experiencing a medical emergency, call 911.

Medical provider partners

We are partnered with DrTelx (drtelx.com), an independent telehealth medical group whose providers are licensed in the states where we offer care. We work exclusively with licensed U.S. pharmacies that meet rigorous regulatory and quality standards. Our pharmacy partners include EPIQ Scripts, Foothills Professional Pharmacy, and Emerald Pharmacy. Every pharmacy in our network is licensed in the states where it dispenses, accredited by the National Association of Boards of Pharmacy (NABP), board-certified, and LegitScript-approved. All prescriptions are filled and shipped by these licensed U.S. pharmacies in compliance with applicable state and federal law.

Important safety information

The assessment made available on the Rila website does not create a doctor-patient relationship between the individual completing the assessment and Rila. Rila, a network of US-licensed doctors that adhere to rigorous medical protocols designed for patient safety, has established exclusionary criteria to determine if an individual does not qualify for GLP-1s. The answers an individual provides to the Rila assessment consequently determine if the individual is screened out of eligibility for GLP-1 medication, and a Rila clinician will meet with an individual after checkout to determine if they qualify for a prescription. Rila clinicians retain the decision to prescribe compounded GLP-1s to patients.

All claims and benefits on this website refer to self-reported data from GLP-1 customers on a treatment plan that includes compounded GLP-1 medications and consultations with medical professionals. Customers reported their weight on their initial medical intake questionnaire and every 3-4 weeks thereafter. Results from compounded medications found on the Rila platform may vary and be affected by an individual’s adherence to the program and their clinician’s recommendations. Compounded GLP-1s are produced in FDA-regulated facilities. Although these facilities are highly regulated, the medications are not FDA-approved or evaluated for safety, efficacy, or quality. The decision to use compounded drugs is guided by the licensed provider’s medical judgment, which is informed by a telehealth consultation and medical history.

We encourage all prospective users of compounded medications to speak with their provider about the specific risks and benefits that may come with the use of compounded medication. Rila does not produce compounded medications, and individuals may receive medication that looks different than what is portrayed on the website.
